Terms of Service

Welcome to Dark Vector Systems. These Terms of Service (the 'Terms') govern your access to and use of our products, websites, and services (collectively, the 'Services'). By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility & Relationship to Other Agreements
You must have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf. These Terms incorporate by reference any order forms, statements of work, or separate agreements executed between you and Dark Vector Systems (collectively, the 'Customer Agreements'). In the event of a conflict, the Customer Agreements control for the specific subject matter.
2. Description of the Services
Dark Vector Systems delivers privacy-first, static-first infrastructure tooling purpose-built for teams that require airtight confidentiality. Our front-end experience runs without client-side JavaScript, cookies, or trackers. All interactions are processed on the server side to ensure deterministic behavior and control. Specific functionality, deliverables, and timelines are described in the applicable Customer Agreements.
3. Security, Compliance, and Reliability
We treat security as a product feature. Dark Vector Systems implements layered controls including network isolation, infrastructure hardening, least-privilege access, encryption in transit and at rest, and continuous verification of supply chain integrity. We maintain documented security and compliance programs aligned with industry frameworks (including SOC 2 Type II readiness and NIST 800-171 mapping), and we make those materials available under NDA upon request.
Because our front end operates without JavaScript, we eliminate a broad class of cross-site scripting, supply chain, and browser-based exfiltration risks. The absence of cookies means we do not store session identifiers in the browser; instead, any authentication or entitlement logic is handled through signed, time-bound tokens passed over secure channels. We do not monetize or sell telemetry data, and we do not embed third-party analytics beacons.
4. Privacy
Our Privacy Notice explains how we collect, use, and protect personal information. By using the Services, you acknowledge that you have reviewed that notice. We design our systems to minimize data collection and retain personal information only for as long as the applicable agreement or law requires.
5. Permitted Use & Acceptable Conduct
You agree to use the Services solely for lawful purposes and in accordance with applicable regulations (including export controls and sanctions). You will not: (a) attempt to reverse engineer or interfere with the Services; (b) transmit malicious code; (c) misrepresent your affiliation with Dark Vector Systems; or (d) use the Services to infringe the rights of any other party. You remain responsible for any content or data you upload or otherwise make available through the Services.
6. Customer Responsibilities
You are responsible for configuring any integrations, maintaining the confidentiality of your credentials, and ensuring that only authorized personnel access the Services. You must notify us immediately if you become aware of any unauthorized use or suspected security incident related to the Services.
7. Service Availability & Support
We provide operational support as outlined in the applicable Customer Agreements. While we target high availability and deterministic release cycles, planned maintenance, upgrades, or emergency work may result in temporary interruptions. We will use commercially reasonable efforts to notify you in advance of scheduled downtime.
8. Intellectual Property
Dark Vector Systems or its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights, tooling, documentation, and derivative works. These Terms do not grant you ownership of any intellectual property belonging to Dark Vector Systems. You grant us a limited license to use your feedback to improve the Services without restriction, provided that such use does not disclose your confidential information.
9. Confidentiality
Each party agrees to protect the other party's confidential information using the same standard of care it applies to its own sensitive information, and no less than a reasonable standard of care. We process customer data strictly in accordance with documented controls and do not access customer environments except to provide the Services, address support requests, or comply with law.
10. Compliance with Law
We operate under a regulated posture and provide auditable trails for actions within the Services. You agree to use the Services in compliance with all applicable laws, including data protection, privacy, intellectual property, and export control regulations. We will promptly notify you of any legally binding request for disclosure of your data unless prohibited by law.
11. Warranty Disclaimer
Except as expressly stated in a Customer Agreement, the Services are provided 'as is' and 'as available.' To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, Dark Vector Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, under any theory of liability, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Services is limited to the amounts paid or payable by you for the twelve (12) months preceding the event giving rise to the claim unless a different cap is specified in a Customer Agreement.
13. Indemnification
You agree to indemnify, defend, and hold harmless Dark Vector Systems and its affiliates, officers, employees, and agents from and against any third-party claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your breach of applicable law.
14. Modifications to the Services or Terms
We may update the Services or these Terms from time to time to reflect enhancements, regulatory requirements, or operational changes. Material changes will be communicated via the email associated with your account or through an in-product notice. Continued use of the Services after the effective date of an updated version constitutes acceptance of the revised Terms.
15. Suspension & Termination
We may suspend or terminate your access to the Services if you breach these Terms, if your Customer Agreement expires or terminates, or if we are required to do so by law. Upon termination, your right to use the Services will immediately cease. Sections intended to survive termination, including but not limited to confidentiality, intellectual property, indemnification, limitations of liability, and governing law, will remain in effect.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for any dispute arising out of or relating to these Terms or the Services, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its confidential information or intellectual property.
17. Notices
Notices to Dark Vector Systems must be sent to support@darkvectorsystems.com or to 1000 Heritage Center Cir. #374, Round Rock, TX 78664-4463, or as otherwise provided in a Customer Agreement. We may provide notices to you via the Services, by email, or through a designated point of contact.
18. Miscellaneous
These Terms constitute the entire agreement between you and Dark Vector Systems with respect to the Services and supersede all prior proposals or understandings. If any provision is held unenforceable, the remaining provisions will remain in effect. Neither party may assign these Terms without the other party's prior written consent, except that either party may assign them in connection with a merger, acquisition, or sale of substantially all its assets. No failure or delay in enforcing any provision will constitute a waiver.
